The website https://minuitsurterre.nopli.eu/ and its mobile site (together and interchangeably the “Site”) are published and hosted by the Société par Actions Simplifiée with a share capital of 4,147.23 Euros, whose registered office is located at 99, rue de Charonne, 75011 Paris, registered with the Paris Trade and Companies Register under number 920 163 243, and whose intra-community VAT number is FR12920163243 (“Nopli”).

Preamble
These general terms and conditions (the “General Conditions”) are concluded between Nopli SAS, MINUIT SUR TERREEURL and any adult natural person (“You” or the “User(s)”) accessing the Site.
These General Conditions exclusively govern your relationship with Nopli and MINUIT SUR TERRE.
The Minuit sur Terre brand is a registered trademark.
Their purpose is notably to define the conditions under which you may:
access and browse the Site;
sell Products on the Site by publishing sales offers (the “Listings”);
purchase Products on the Site;
By browsing the Site, Users acknowledge having read and fully and unreservedly accepted the General Conditions.
Nopli reserves the right to modify the General Conditions at any time. They will then be applicable as soon as they are published online. In this respect, Users are invited to regularly review the General Conditions.
Nopli acts as an intermediary in transactions carried out between Sellers and Buyers as a hosting provider with respect to Content published on the Site by Users.
ARTICLE 1 – DEFINITIONS

Buyer(s): person having the legal capacity to contract, wishing to acquire one or more Product(s) on the Site as an individual, i.e., for non-commercial and non-professional purposes;
Nopli: Nopli, as defined in the preamble, provides Users with the services described in these General Conditions. As such, Nopli acts as an intermediary in transactions carried out between Sellers and Buyers and has the status of host with respect to Content published on the Site by Users.
MINUIT SUR TERRE: MINUIT SUR TERRE, as a partner of Nopli, acts as the owner of the partner brand Minuit sur Terre by providing its image, its name, its catalog and its media, and by undertaking to credit and accept on its website the vouchers of sellers. As a brand partner, MINUIT SUR TERRE also has the ability to sell Minuit sur Terre branded products on the Site.
Seller(s): person having the legal capacity to contract, wishing to sell one or more Product(s) on the Site, as an individual, i.e., for non-commercial and non-professional purposes.
User(s): see definition given in the preamble;
Content(s): any element distributed on the Site, by email or via Messaging, including Products, Listings, Reviews and messages;
Listing(s): see definition given in the preamble;
Product(s): items offered for sale by Sellers on the Site under the General Conditions;
Product Photo(s): any visual published by a Seller when creating a Listing to faithfully represent the Product in its current condition;
Sale: All actions leading to a transaction between a Buyer and a Seller for one or more Products offered on the Site.
Shipping Costs: Costs related to the transport of a sold Product.
Nopli Protection: Fees related to the proper functioning of the site and the protection of Buyers.
Payout Option: Payment method chosen by Sellers within the Services to be compensated.
Gift Card: Seller payout option following a sale consisting of a prepaid gift card usable on the website https://minuitsurterre.com for a predefined amount.
Top-up: Additional amount added to the Sale price by MINUIT SUR TERRE when the Gift Card payout option is selected.
Bank Transfer: Seller payout option following a sale consisting of a bank transfer of a predefined amount to the Seller’s bank account.
ARTICLE 2 - ACCESS TO THE SITE AND USE
The Site is open to any internet or mobile user meeting the conditions stated in the preamble, subject to having an internet connection.
Access to Listings on the Site is free. A simple visitor may view Listings without registering on the Site.
By accessing or using the Site, the User declares and guarantees:
to be at least 18 years old;
to have legal capacity to buy and sell;
to accept these General Conditions and all contractual documents;
to be fully responsible for transactions carried out.
When publishing a Listing or making a Sale, Users must provide all personal information necessary for proper completion of the transaction.
The User guarantees that all provided information is accurate, up to date and truthful and is not misleading.
The User undertakes to update this information by email or any means provided by Nopli in case of changes, particularly a change of postal address.
The User acknowledges that entered information constitutes proof of identity and is binding upon validation.
The User undertakes that the personal information belongs to them and will not allow third parties to use it.
The User must immediately contact Nopli if they notice unauthorized use of their information.
ARTICLE 3 - OPERATION OF THE SITE
Users have access to the following Services in a form and according to technical means deemed appropriate by Nopli.
3.1 Sale of items
Only Products of the Minuit sur Terre brand or distributed by the website https://minuitsurterre.com may be sold on the Site.
3.1.1 Listing creation
Selling a Product requires creating a Listing. A User may list unlimited Products for free but may not list the same Product multiple times. Sellers must remove unavailable Products immediately.
Listings must describe Products clearly and accurately.
Sellers may include text and photos.
Nopli recommends multiple photos and showing defects.
Sellers can modify Listings until a Buyer expresses intent to purchase.
The Seller chooses the payout option (Gift Card or Bank Transfer) when listing.
3.1.2 Moderation
All Listings are reviewed and may be modified before publication. Post-publication moderation may occur.
Non-compliant Listings will be removed.
3.1.3 Sale validation / cancellation
The Seller has 5 days to ship after notification.
If not shipped within 7 days, the Sale is canceled.
High cancellation rates may lead to Listing removal.
Bank transfer requires identity verification via the payment provider.
3.2 Purchases
3.2.1 Orders
Orders imply acceptance of prices and descriptions.
Payment is secured by STRIPE.
Service Fees may apply (including Nopli Protection).
Shipping costs are paid by the Buyer.
Payment is immediate.
Orders are final after confirmation.
Buyers receive confirmation email.
Orders auto-confirm after 72 hours unless an issue is reported.
Failure to collect parcel may incur fees.
Lost returned parcels are not refunded.
3.2.2 Cancellation and refund
i. Between individuals
No withdrawal right applies.
Non-conformity allows dispute within 72 hours.
Nopli mediates disputes.
Users may escalate legally if needed.
ii. Professional seller
Consumers have 14-day withdrawal rights when buying from professionals.
Professional sellers must comply with consumer law obligations.
ARTICLE 4 - STRIPE TERMS
Payments are handled by Stripe Payments Europe, Ltd.
Users contract directly with Stripe.
If Stripe refuses service, Nopli services become unavailable.
Payment instructions are transmitted via Nopli.
ARTICLE 5 - DELIVERY
Products are delivered to the Buyer’s address.
Seller has 5 days to ship.
Seller remains responsible until delivery.
Use of Nopli shipping label is mandatory.
Complaints must be made within 72 hours.
Non-conform products may be refunded.
ARTICLE 6 - SELLER PAYOUT
6.1 Gift Card
Sent after sale completion.
Amount includes possible top-up by MINUIT SUR TERRE.
Valid 12 months.
Non-refundable in cash.
6.2 Bank Transfer
Paid to Seller’s account.
Requires STRIPE identity verification.
Bank details are securely handled by STRIPE.
ARTICLE 7 - FINANCIAL TERMS
Services are free.
7.1 Commission
No commission for Gift Card option.
15% commission for Bank Transfer option.
Commission deducted at payment.
ARTICLE 8 - PERSONAL DATA
Processed under the Privacy Policy.
ARTICLE 9 - USER OBLIGATIONS
Users must comply with laws.
Users are responsible for taxes.
Users must provide accurate data.
ARTICLE 10 - PROHIBITED BEHAVIOR
Illegal use prohibited.
No system intrusion, spam, or misuse.
No copying or exploiting the platform.
ARTICLE 11 - NOPLI OBLIGATIONS
Nopli provides services with best efforts.
Acts as intermediary only.
Not responsible for transactions or product compliance.
No guarantee of service continuity.
ARTICLE 12 - INTELLECTUAL PROPERTY
All content is protected.
Unauthorized use is prohibited.
ARTICLE 13 – FORCE MAJEURE
Nopli is not liable for force majeure events.
Includes disasters, strikes, network failures, etc.
Obligations suspended during such events.
Contracts may be terminated after 30 days.
